Welcome to Reef! These User Terms and Conditions (“Terms”) govern your access to and use of the Reef platform, including our website at https://workfromreef.com, mobile applications, and related services (collectively, the “Service”). Please read these Terms carefully before using our Service.

 

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

 

1. Definitions
In these Terms:
“Reef,” “we,” “us,” or “our” refers to Reef and its affiliates.
“User,” “you,” or “your” refers to any individual or entity accessing or using the Service.
“Platform” means the Reef website, mobile applications, and any related technology.
“Venue” means any third-party location listed on the Platform where Users may book workspace.
“Venue Partner” means any third-party business that provides workspace through the Platform.
“Subscription” means the paid membership plan that grants access to the Service.
“Booking” means a reservation made through the Platform to use a Venue.
“Reef Card” means the digital membership card provided to Users.
“Guest” means any individual invited by a User to attend a Booking.

 

2. Eligibility
2.1. To use the Service, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement.
2.2. By using the Service, you represent and warrant that you meet these eligibility requirements.
2.3. If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

 

3. Account Registration
3.1. To access most features of the Service, you must create an account by providing accurate, current, and complete information.
3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3. You agree to notify us immediately of any unauthorised use of your account or any other breach of security.
3.4. We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or fraudulent.

 

4. Subscription Plans and Payment
4.1. Subscription Options. Reef offers various subscription tiers with different features, including but not limited to unlimited Bookings, exclusive food and drink offers, guest invitations, and meeting room access on premium plans.
4.2. Fees. Subscription fees are as displayed on the Platform at the time of purchase. All fees are quoted in the applicable currency and are exclusive of VAT unless otherwise stated.
4.3. Billing. Subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan) until cancelled. By subscribing, you authorise us to charge your chosen payment method on each billing date.
4.4. Price Changes. We reserve the right to modify subscription fees upon reasonable notice. Any price changes will take effect at the start of your next billing cycle following the notice.
4.5. Refunds. Subscription fees are generally non-refundable, except where required by law or as otherwise stated in these Terms.
4.6. Free Trials. If you sign up for a free trial, you may be required to provide payment details. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan.

 

5. Use of the Service
5.1. Bookings. Subject to your active Subscription, you may make Bookings at participating Venues through the Platform. Bookings are subject to availability and any specific terms set by Venue Partners.
5.2. Reef Card. Upon subscribing, you will receive a digital Reef Card, which you must present at Venues to access your Booking benefits. Your booking email will also be suffice.
5.3. Guests and Colleagues. Depending on your subscription tier, you may invite Guests or colleagues to Bookings. Guests must comply with these Terms, and you remain responsible for their conduct.
5.4. Offers and Discounts. Any food, drink, or other offers are provided at the discretion of Venue Partners and are subject to availability and Venue-specific terms.
5.5. Team Features. If you use Reef as part of a business or team account, additional features such as shared Booking visibility and coordination tools may apply, subject to any supplementary terms.

 

6. User Conduct
6.1. You agree to use the Service only for lawful purposes and in accordance with these Terms.
6.2. When using Venues, you agree to:
a) Treat Venue staff and other patrons with respect and courtesy;
b) Comply with all Venue rules, policies, and reasonable requests from Venue staff;
c) Use the workspace appropriately and not disturb other patrons;
d) Make reasonable purchases at Venues where expected (even though Reef membership removes “coffee guilt,” supporting Venue Partners is encouraged);
e) Leave the workspace in a clean and tidy condition.
6.3. You agree not to:
a) Share, transfer, or sell your account or Reef Card to any other person;
b) Use the Service for any illegal, harmful, or fraudulent purpose;
c) Misrepresent your identity or affiliation;
d) Interfere with or disrupt the Service or servers;
e) Attempt to gain unauthorised access to any part of the Service;
f) Use automated systems or software to extract data from the Platform without our consent;
g) Post or transmit any content that is defamatory, offensive, or infringes on the rights of others.
6.4. Violation of these conduct rules may result in suspension or termination of your account without refund.

 

7. Venue Partner Relationship
7.1. Reef acts as an intermediary between Users and Venue Partners. We do not own, operate, or control any Venues listed on the Platform.
7.2. Venue Partners are independent third parties, and we are not responsible for their actions, omissions, products, or services.
7.3. Any disputes arising between you and a Venue Partner should be resolved directly with that Venue Partner, although we are happy to assist where we can.
7.4. Venue availability, facilities, and quality may vary, and we do not guarantee any particular standard or experience at any Venue.

 

8. Intellectual Property
8.1. The Service and its original content, features, and functionality are owned by Reef and are protected by copyright, trademark, and other intellectual property laws.
8.2. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for personal, non-commercial purposes in accordance with these Terms.
8.3. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any part of the Service without our prior written consent.
8.4. “Reef,” our logo, and other marks are trademarks of Reef. You may not use these marks without our prior written permission.

 

9. Privacy
9.1. Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.
9.2. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

 

10. Disclaimers
10.1. The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
10.2. We do not warrant that:
a) The Service will be uninterrupted, secure, or error-free;
b) Any defects will be corrected;
c) The Service or servers are free of viruses or harmful components;
d) The results obtained from using the Service will be accurate or reliable.
10.3. We make no representations or warranties regarding Venues, including their safety, quality, suitability, or availability.

 

11. Limitation of Liability
11.1. To the fullest extent permitted by law, Reef and its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
11.2. Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to Reef in the twelve (12) months preceding the claim.
11.3. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

 

12. Indemnification
12.1. You agree to indemnify, defend, and hold harmless Reef and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
a) Your use of the Service;
b) Your violation of these Terms;
c) Your violation of any rights of another party;
d) Your conduct at any Venue.

 

13. Termination
13.1. Termination by You. You may cancel your Subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period, and you will retain access until that date.
13.2. Termination by Us. We may suspend or terminate your account and access to the Service immediately if:
a) You breach any provision of these Terms;
b) We are required to do so by law;
c) We discontinue the Service or any part thereof.
13.3. Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive.

 

14. Changes to These Terms
14.1. We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Platform prior to the changes taking effect.
14.2. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
14.3. If you do not agree to the modified Terms, you must stop using the Service and cancel your Subscription.

 

15. Governing Law and Disputes
15.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales.
15.2. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15.3. Nothing in this clause affects your statutory rights as a consumer.

 

16. General Provisions
16.1. Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Reef regarding the Service.
16.2. Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16.3. Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.4. Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
16.5. No Third-Party Beneficiaries. These Terms do not confer any rights on any third party.
