Venue terms of use

1. Introduction
These Venue Terms and Conditions (“Agreement”) govern the relationship between Reef (“we,” “us,” “our,” or the “Company”) and any venue, establishment, or property owner (“Venue,” “you,” or “Partner”) that participates in the Reef network.
By registering as a Reef Partner Venue or accepting bookings through the Reef platform, you agree to be bound by these terms. Please read them carefully.
Reef operates via the website https://workfromreef.com and associated mobile applications.

 

2. Definitions
“Reef Platform” means the website, mobile applications, and any associated technology or services operated by Reef.
“Member” means any individual or business subscriber who holds an active Reef membership.
“Booking” means a reservation made by a Member to use workspace at a Partner Venue through the Reef Platform.
“Listing” means the Venue’s profile, including images, descriptions, amenities, and availability as displayed on the Reef Platform.
“Service Fee” means any commission, fee, or payment arrangement agreed between Reef and the Venue.

 

3. Partner Venue Registration
3.1 Eligibility
To become a Partner Venue, you must:

  • Be a legally registered business or sole trader;
  • Have the authority to enter into this Agreement;
  • Operate a physical premises suitable for laptop-friendly remote work;
  • Comply with all applicable local laws, regulations, health and safety requirements, and licensing obligations.

 

3.2 Application and Approval
All Venue applications are subject to review and approval by Reef at our sole discretion. We reserve the right to decline any application without providing a reason.

 

3.3 Verification
You agree to provide accurate and complete information during registration and to promptly update any changes to your business details, contact information, or operational status.

 

4. Venue Obligations
4.1 Workspace Standards
As a Partner Venue, you agree to:

  • Provide a safe, clean, and welcoming environment for Members;
  • Ensure reliable Wi-Fi connectivity suitable for professional use;
  • Make available adequate seating and workspace as described in your Listing;
  • Honour all confirmed Bookings made through the Reef Platform;
  • Maintain appropriate public liability insurance for your premises.

 

4.2 Member Treatment
You shall:

  • Treat all Reef Members with courtesy and professionalism;
  • Not discriminate against Members on any unlawful grounds;
  • Allow Members to occupy workspace for the duration of their Booking without requiring additional purchases, unless otherwise agreed and clearly stated in your Listing.

 

4.3 Exclusive Offers
Where you have agreed to provide exclusive food, drink, or other offers to Reef Members, you must honour these offers as displayed on the Reef Platform.

 

4.4 Listing Accuracy
You are responsible for ensuring your Listing is accurate, up-to-date, and not misleading. This includes:

  • Opening hours and availability;
  • Amenities (e.g., power outlets, meeting rooms, quiet zones);
  • Any restrictions or house rules;
  • Photographs that fairly represent your Venue.

 

4.5 Availability Management
You must keep your availability calendar current and notify Reef promptly of any closures, reduced capacity, or circumstances that may affect Bookings. You may set and change the days and times you accept Bookings (including limiting Booking availability to specific time windows) and may mark your Venue as unavailable on specific dates (for example, public holidays, private events, or temporary closures).

 

5. Reef’s Obligations
5.1 Platform Access
We will provide you with access to the Reef Platform to manage your Listing, view Bookings, and communicate with Members where applicable.

 

5.2 Marketing and Promotion
We may feature your Venue in marketing materials, on our website, and through our social media channels. You grant us a non-exclusive, royalty-free licence to use your Venue name, logo, images, and descriptions for these purposes.

 

5.3 Member Verification
All Members must hold an active Reef subscription to make Bookings. We implement reasonable verification processes but do not guarantee the conduct of any individual Member.

 

5.4 Support
We will provide reasonable support to Partner Venues via email or through the Reef Platform.

 

6. Bookings and Check-In
6.1 Booking Confirmation
Bookings made by Members through the Reef Platform are confirmed automatically based on the availability you have set (including any Booking Notice Period you have selected). You agree to honour all confirmed Bookings.

 

6.1A Booking Notice Period (Optional)
You may choose to require up to forty-eight (48) hours’ notice for Bookings (“Booking Notice Period”). Where enabled, Members will only be able to make Bookings that start at least 48 hours after the time of booking.

 

6.2 Check-In Process
Members will check in using the Reef app or by presenting their digital Reef card. You agree to familiarise your staff with the check-in process and accommodate Members accordingly.

 

6.3 No-Shows and Cancellations
Where a Member fails to attend a Booking or cancels, you will not be entitled to any compensation from Reef unless otherwise agreed in writing.

 

6.4 Overbooking
In the event of overbooking or inability to accommodate a Member with a confirmed Booking, you must notify Reef immediately. Repeated overbooking may result in suspension or termination of your participation in the Reef network.

 

7. Fees and Payment
7.1 No Fees Charged to Venues
Reef does not charge Partner Venues any costs, booking fees, listing fees, or commission for participating in the Reef network.

 

7.2 Taxes
You are solely responsible for any taxes, VAT, or other charges applicable to your business and any payments received in connection with this Agreement.

 

7.3 No Charge to Members
Unless expressly agreed and stated in your Listing, you shall not charge Members any additional fee for workspace access during a confirmed Booking.

 

8. Intellectual Property
8.1 Reef Branding
Reef grants you a limited, non-exclusive, non-transferable licence to use Reef branding materials (e.g., window stickers, digital badges) solely for the purpose of identifying your Venue as part of the Reef network.

 

8.2 Venue Content
You retain ownership of all content you provide for your Listing. By submitting content, you grant Reef a worldwide, royalty-free licence to use, reproduce, modify, and display such content in connection with the Reef Platform and marketing activities.

 

8.3 Restrictions
You may not use Reef’s name, logo, or branding in any manner that suggests endorsement, affiliation, or sponsorship beyond your participation in the Reef network without prior written consent.

 

9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information disclosed during the course of this partnership. This obligation shall survive termination of this Agreement.

 

10. Data Protection
10.1 Compliance
Both parties shall comply with all applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

 

10.2 Member Data
Reef remains the data controller for Member personal data. You shall only process Member data as necessary to fulfil Bookings and shall not use Member data for your own marketing purposes without separate, explicit consent from the Member.

 

10.3 Data Security
You agree to implement appropriate technical and organisational measures to protect any personal data you handle in connection with the Reef Platform.

 

11. Liability and Indemnification
11.1 Limitation of Liability
To the maximum extent permitted by law, Reef shall not be liable for:

  • Any indirect, incidental, special, or consequential damages;
  • Loss of profits, revenue, or business opportunities;
    Any acts, omissions, or conduct of Members at your Venue;
  • Any damage to your property caused by Members.

 

11.2 Indemnification
You agree to indemnify, defend, and hold harmless Reef, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of:

  • Your breach of this Agreement;
  • Your negligence or wilful misconduct;
  • Any claims by Members or third parties relating to your Venue or services.

 

11.3 Insurance
You shall maintain adequate insurance coverage, including public liability insurance, for your premises and operations.

 

12. Term and Termination
12.1 Term
This Agreement commences upon your acceptance as a Partner Venue and continues until terminated by either party.

 

12.2 Termination for Convenience
Either party may terminate this Agreement at any time by providing thirty (30) days’ written notice to the other party.

 

12.3 Termination for Cause
Reef may terminate this Agreement immediately if you:
Breach any material term of this Agreement;

  • Engage in conduct that damages Reef’s reputation;
  • Fail to honour confirmed Bookings on multiple occasions;
  • Cease trading or become insolvent.

 

12.4 Effect of Termination
Upon termination:

  • Your Listing will be removed from the Reef Platform;
  • You must honour any Bookings confirmed prior to termination;
  • You must cease using all Reef branding materials;
  • Provisions relating to confidentiality, intellectual property, liability, and indemnification shall survive.

 

13. Modifications to Terms
Reef reserves the right to modify these Venue Terms and Conditions at any time. We will notify you of material changes via email or through the Reef Platform. Continued participation in the Reef network following such notice constitutes acceptance of the modified terms.

 

14. General Provisions
14.1 Entire Agreement
This Agreement, together with any Partner Agreement or onboarding documentation, constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements.

 

14.2 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

 

14.3 No Waiver
Failure by either party to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

 

14.4 Assignment
You may not assign or transfer this Agreement without Reef’s prior written consent. Reef may assign this Agreement to any affiliate or successor entity.

 

14.5 Relationship of Parties
Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between the parties. You are an independent contractor.

 

14.6 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

 

14.7 Dispute Resolution
Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
